Terms and Conditions

These Terms of Use are important and affect your legal rights, so please read them and our Privacy Policy and other terms referenced in this document carefully. JOTT TV Limited, a UK registered company, trades as Jewzy.

You are accessing this website or app and the Jewzy OTT subscription service through our third party OTT platform provider, Vimeo (VHX Corporation), and you are therefore also referred to and bound by the Vimeo Terms of Service, Vimeo privacy and cookie policies for which Vimeo is responsible directly to you; any queries about the Vimeo Terms of Service, privacy and other published policies should be directed to: ottsupport@vimeo.com. Please see further Contact Details below.

If you are not accessing the Jewzy Service through the Jewzy website, but instead through a third party app such as Apple or Roku, you are also referred to their terms of service and privacy policies.

1. Introduction and Service Description

Jewzy has sought out and created a collation of Jewish-related material in an innovative way for your unique experience. By subscribing to or otherwise using the Jewzy service, websites, and software mobile device applications (together, the “Jewzy Service” or “Service”), or accessing any content or material that is made available by Jewzy through the Service (the “Content”) you are entering into a binding contract with the Jewzy entity indicated at the bottom of this document. The Jewzy Service comprises (though the offering may vary pending full launch and may subsequently be varied at our discretion from time to time) streaming only access to content the same or similar to https://www.JEWZY.tv

If you cancel your subscription to the Jewzy Service, or if your subscription is interrupted (for example, if you change your payment details), you may not be able to re-subscribe for the Service.

Your agreement with us includes these Terms of Use (“Terms”) and our Privacy and Cookies Policy (together, the “Agreement”), all available to view on our website and app. You acknowledge that you have read, understood and accept the Agreement and agree to be bound by it. If you do not agree, then you may not use the Jewzy Service or use the website and apps.

Please read this Agreement carefully. It covers important information about Jewzy Services provided to you and any charges, taxes, and fees we bill you, as well as other matters in the headings listed above. The Agreement governs your use of our service (the “Jewzy Service”), which allows consumers like you to obtain streaming access to video programs (“Programs”) and subscriptions to video channels from us as a content producer (“Producer”) through our Jewzy Producer websites and applications that are powered by our platform supplier, Vimeo.

When you use the Vimeo OTT Service by, for example, making a purchase, creating an account with Vimeo or Jewzy, or use a Jewzy website or application, you agree to this Agreement (and Vimeo’s agreement). Please note that by accepting this Agreement, you agree to resolve claims between you, Jewzy and Vimeo through binding arbitration.

2. Amendments to this Agreement

The terms of this Agreement, as updated or modified by us in our sole discretion, will govern all your future use of the Service. We recommend that you review the website regularly to note any changes, since you agree to be bound by such modified and updated terms if you access or use this website or Service after we have posted notice of such modifications or updates. If you do not agree to the updated or modified terms then you must cease using the Service. We may modify, suspend, or discontinue, temporarily or permanently, the Service and may remove or delete any content or links at any time, in our sole discretion. If you do not wish to continue using the Service under the new version of the Agreement, you may terminate the Agreement by contacting us through the Customer Service contact form.

3. Account Registration

To make a purchase, you must create an account with Vimeo and with Jewzy when you first purchase a subscription from Jewzy.
To create an account, you must provide a valid email address. You represent and warrant that all information you provide is accurate and complete and you agree to keep it that way at all times. You are solely responsible for maintaining the security of your account and for all activity that occurs under your account. You must notify Vimeo and Jewzy immediately if you suspect any unauthorized access to or use of your account.

You may not create an account if you are younger than 16 years of age. By creating an account, you represent that (i) you are at least 16 years of age. Individuals younger than 16 may only view Programs via their parent or legal guardian's account, and with that adult's consent, permission, supervision and involvement; (ii) you have the power to enter a binding contract with us and not be barred from doing so under any applicable laws, and (iii) you are resident in a country where the Service is available.

As a new subscriber at the time of registration, you shall be asked to confirm your consent to the Agreement and our Privacy Policy (including our Cookie Policy) before your registration is confirmed.

To purchase a subscription with Jewzy, you will be asked by Jewzy’s third party supplier, currently Stripe, for payment details. Please see Payments section below.

4. Pre-Sale and Other Pilots

Before full Go-Live of the Jewzy Service, we shall offer a pre-sale to Subscribers with special offers and from time to time in the future, we may offer trials of subscriptions for a specified period without payment or at a reduced rate (a “Pilot”). This Agreement applies to all Pilots. We reserve the right, in our absolute discretion, to determine your eligibility for a Pilot, and, subject to applicable laws, to withdraw or to modify a Pilot at any time without prior notice and with no liability, to the greatest extent permitted under the law.

5. What Your Jewzy Access Subscription Entitles You To

The Jewzy Service and its content are the property of Jewzy (or its licensors of third party content). Jewzy may offer the following purchase options through its websites and applications:

  • Rental: After paying the stated fee, you may stream the Program an unlimited number of times during the stated rental period.
  • Purchase: After paying the stated fee, you may stream the Program an unlimited number of times. Downloads are not available.
  • Subscription: For a recurring fee, you may stream the Programs offered within a Jewzy’s subscription channel an unlimited number of times during your subscription period. Jewzy may add or remove Programs from the channel at any time.

You are responsible for obtaining Internet access and a compatible, Internet-connected device to stream and/or download Programs via Jewzy websites and applications. The quality of your viewing experience depends on a number of factors, including your viewing device and the quality of your Internet .connection.

6. Subscriber Guidelines

Your password protects your subscription account, and you are solely responsible for keeping your password confidential and secure. You understand that you are responsible for all use of your username and password on the Service. If your username or password is lost or stolen, or if you believe there has been unauthorized access to your account by third parties, please notify Vimeo and Jewzy immediately and change your password as soon as possible.

In using the Jewzy Service, you will not:
  • Scrape, reproduce, redistribute, sell, create derivative works from, decompile, reverse engineer, or disassemble the Jewzy Service or any source code therein;
  • Attempt to circumvent any technical measures (including digital rights management) that we may employ;
  • Take any measures to interfere with or damage the Jewzy Service;
  • Use the Jewzy Service to transmit tortious, unlawful, infringing, and otherwise objectionable content;
  • Spam or harass Jewzy or any other user;
  • Use any fraudulent, deceptive, or misleading practices;
  • Collect personal information about Producers or other Jewzy users;
  • Engage in any commercial activities except as permitted by us; or
  • Engage in any illegal activities.

From time to time, Jewzy shall publish further Subscriber Guidelines on its website.

7. Third Party Platform Provider (Vimeo) and Payment Processing

The Service is integrated with third party platforms, applications, websites and services (“Third Party Platform”) to make the Service available to you. Jewzy’s Third Party Platform (Vimeo) has its own terms and conditions of use and privacy policies and your use of such Third Party Platform will be governed by and subject to such terms and conditions and privacy policies, as well as this Agreement. You understand and agree that we do not endorse and are not responsible or liable for the behaviour, features, or content of any Third Party Platform or for any transaction you may enter into with the provider of any such Third Party Platform. We are solely responsible for the provision of the Jewzy Service pursuant to the terms of this Agreement. Jewzy reserves the right at its discretion to change its Third Party Platform Provider which is its supplier and processor for the Jewzy Service.

To make a purchase, you must provide a valid payment method to Jewzy’s third party payment processor (currently Stripe; Jewzy reserves the right at its discretion to change its payments processor). Subscriptions automatically renew for the subscription period until you cancel. Your payment method will be charged at the beginning of each subscription period. If Jewzy offers a free-trial period, your payment method will be charged at the end of the free-trial period unless you cancel before the end of that period. To pause or cancel a subscription, visit your Account Settings. Your changes will be applied to your next subscription period.

We may apply taxes, including Sales Transaction taxes (USA) or VAT (value-added tax, in the UK), to any charges. Prices and other terms of purchase are subject to change. If Jewzy provides you access to a Program on a free basis, such access will be deemed a “purchase” for the purpose of this Agreement. You may cancel your subscription within 14 days of initial subscription online. You will receive a full refund for your payment, less any applicable taxes and third party platform charges.

ALL PURCHASES, INCLUDING RECURRING CHARGES, ARE FINAL AND NON-REFUNDABLE.

8. Jewzy Support Community

In due course, Jewzy aims to provide to Subscribers a support community facility. Please check Jewzy’s website or app under News for updates on this.

9. Your Consent

Before continuing to use Jewzy’s website, apps or subscribe, you acknowledge and agree that you have read and understood our Privacy Policy and opted in to agree to our Consent Policy.

10. Copyright Policy: Subscribers and Third Party Copyright Owners

License to Programs: Subject to the terms hereof, you have the right to stream for your personal entertainment purposes: (i) Programs that you have rented during the stated rental period; (ii) Programs that you have purchased; and (iii) Programs made available within Jewzy that you have subscribed to during your subscription period.

You may not resell streams (or downloads, which shall be unlawful), use any Program for any commercial purpose, redistribute or retransmit any Program, publicly perform or display any Program, or make derivative works from any Program. All rights not expressly granted herein are reserved by Jewzy.

Jewzy Service: Subject to the terms hereof, Jewzy grants to you permission to use the Jewzy Service, for the purpose of purchasing and viewing Programs for your personal entertainment. All rights not expressly granted by Jewzy are reserved.

If you download a Jewzy application that we or our suppliers power (an “app”) that operates on a third party platform (e.g., iOS, Roku): (i) you have the right to use such app for your personal, non-commercial use on devices permitted by the platform operator; (ii) as between Jewzy and the platform operator (but without creating any obligation by Jewzy), Jewzy shall be responsible for the apps and their content and providing any warranty, support, or indemnification with respect to such apps as required by law; and (iii) the platform operator shall have the right to enforce the terms of this clause with respect to your use of the app.

Your Content: To the extent that you submit any content to Jewzy, you grant Jewzy an irrevocable, worldwide, non-exclusive, royalty-free, perpetual right and license to use, copy, adapt, transmit, distribute, license, and publicly perform and display such content in all media for any purpose whatsoever. If you provide any feedback about improving Jewzy, we will have the right to use your feedback without compensation to you. You represent and warrant that any content you submit to Jewzy does not, and will not, violate any law or any third party’s rights, including any intellectual property rights.

Third Party Copyright Owners. Jewzy respects the intellectual property rights of others and expects its users to do the same. In accordance with the DMCA Digital Millennium Copyright Act of 1998 and the EUCD European Union Copyright Directive of 2006 we will respond to claims of copyright infringement committed using the Service that are reported to us as identified in the sample notice below. Violation of trademark, copyright and other intellectual property laws may result in significant civil liability or criminal penalties under applicable law. Any reproduction or use of content, except as authorised by the owners, shall be considered to be an intentional infringement.

If you are a copyright owner, authorized to act on behalf of one or authorized to act under any exclusive right under copyright, please report alleged copyright infringements taking place on or through the Service by completing the following Notice of Alleged Infringement and delivering it to us. Upon receipt of Notice as described below, we will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged use from the Service and/or termination of the Jewzy subscriber’s account.

Notice of Alleged Infringement ("Notice")
1. Identify the copyrighted work that you claim has been infringed, or - if multiple copyrighted works are covered by this Notice - you may provide a representative list of the copyrighted works that you claim have been infringed.
2. Identify the material or link you claim is infringing (or the subject of infringing activity) and that access to which is to be disabled, including at a minimum, if applicable, the URL of the link shown on the relevant website where such material may be found.
3. Provide your mailing address, telephone number, and, if available, email address.
4. Include both of the following statements in the body of the Notice:
i) "I hereby state that I have a good faith belief that the disputed use of the copyrighted material is not authorized by the copyright owner, its agent, or the law (e.g., as a fair use)."
ii)"I hereby state that the information in this Notice is accurate and, under penalty of perjury, that I am the owner, or authorized to act on behalf of the owner, of the copyright or of an exclusive right under the copyright that is allegedly infringed."

If we are notified by a copyright holder that any content infringes a third party’s intellectual property rights, we may in our absolute discretion take actions without prior notification to the provider of that content. If the provider believes that the content is not infringing, the provider may submit a counter-notification to us with a request to restore the removed content.

If you believe that any content does not comply with the Subscriber Guidelines, please fill out our notice form.

11 Service Limitations, Modifications and Updates

We will make reasonable efforts to keep the Service operational. However, certain technical difficulties or maintenance may, from time to time, result in temporary interruptions. To the extent permissible under applicable law, we reserve the right, periodically and at any time, to modify or discontinue, temporarily or permanently, functions and features of the Service or any part of it, with or without notice, all without liability to you, except where prohibited by law, for any interruption, modification, or discontinuation of the Service or any function or feature thereof. Notwithstanding the foregoing, if you have prepaid fees for subscriptions that we permanently discontinue prior to the end of the pre-paid period (please see Payments, cancellations, and cooling off section), we will refund you the prepaid fees for the pre-paid Period after such discontinuation. You understand, agree, and accept that Jewzy has no obligation to maintain, support, upgrade, or update the Service, or to provide all or any specific content through the Service. This section will be enforced to the extent permissible by applicable law. We and/or the owners of any content may, from time to time, remove any such content without notice to the extent permitted by applicable law.

12. Links

The Service may contain links to third-party websites. Given that monitoring the vast amount of information disseminated and accessible via those sites and resources is impracticable and beyond our resources, such information cannot be guaranteed to be accurate, or up to date and is not endorsed by us. You acknowledge and agree that Jewzy is not responsible or liable for: (i) the availability or accuracy of such websites; or (ii) the content, products, or services on or available from such websites. Links to such websites do not imply any endorsement by us of such websites or the content, products, or services available from such websites nor association with their operators. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites.

The other linked websites may have different privacy statements or policies that are not the same as our Privacy Policy, or may not have privacy statements or policies. We encourage you to read the privacy policies (if any) for all such websites as they may differ from our Privacy Policy. Your use of such linked websites through links provided on this website is governed by the terms and privacy statements or policies of those sites, not this website.

Any dealings between you and any third party advertisers or merchants found on or via the Service, including payment for and delivery of products, services and any other terms, conditions, warranties or representations associated with such dealings, are made between you and the relevant advertiser or merchant. Therefore, we are not responsible or liable for any loss or damage of any kind incurred as the result of any such dealings. Where purchasing goods or services directly from us, please ensure you read the relevant terms and conditions or terms of use before entering into any transaction.

13. Customer Support

From Go-Live we provide a Help Desk during usual (USA) working hours. For customer support with account-related and payment-related questions (“Customer Support Queries”), please email the Vimeo or Stripe customer service department using the Customer Service contact form on their website. We will use reasonable endeavours to respond to all Customer Support Queries within a reasonable time frame but we make no guarantees or warranties of any kind that any Customer Support Queries will be responded to within any particular time frame and/or that we will be able satisfactorily to answer any such queries.

We endeavour to provide on-going help to improve your experience when using the Service, including maintenance, supervision, descriptions of TV programmes and detail, advice from qualified staff, access to software, software updates, technology/IT developments, marketing, marketing support, targeted advertising, as well as access to community relations and Jewzy social content services.

14. US Exports

Our Service may be subject to U.S. export and re-export control laws and regulations or similar laws applicable in other jurisdictions, including the Export Administration Regulations (“EAR”) maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department’s Office of Foreign Assets Control (“OFAC”), and the International Traffic in Arms Regulations (“ITAR”) maintained by the Department of State. You warrant that you are (1) not located in Cuba, Iran, North Korea, Sudan, or Syria; and (2) are not a denied party as specified in the regulations listed above.

You agree to comply with all applicable export and re-export control laws and regulations, including the EAR, trade and economic sanctions maintained by OFAC, and the ITAR. Specifically, you agree that you shall not – directly or indirectly – sell, export, re-export, transfer, divert, or otherwise dispose of any products, software, or technology (including products derived from or based on such technology) received from us under the Agreement to any destination, entity, or person prohibited by any applicable laws or regulations of the United States or any other jurisdiction without obtaining prior authorization from the competent government authorities as required by those laws and regulations. This export control clause shall survive termination or cancellation of the Agreement.

15 Term and Termination

This Agreement commences when you first use the Jewzy website, apps or Jewzy Service. The Agreement will continue to apply to you until terminated by either you or us. We may terminate the Agreement or suspend your access to the Service at any time, including in the event of your actual or suspected unauthorised use of the Service and/or content, or non-payment for or other non-compliance with the Agreement. If you or we terminate the Agreement, or if we suspend your access to the Service, you agree that we shall have no liability or responsibility to you and we will not refund any amounts that you have already paid, to the fullest extent permitted under applicable law. To learn how to terminate your account, please contact us through the Customer Service contact form which is available on our Info page. This section will be enforced to the extent permissible by applicable law. You may terminate the Agreement at any time.

Any sections of the Agreement that, either explicitly or by their nature, must remain in effect even after termination of the Agreement, shall survive termination.

16 Warranty and Disclaimer

We endeavour to provide the best service we can, but you understand and agree that the Service is provided “as is” and “as available”, without express or implied warranty or condition of any kind. You use the Service at your own risk. To the fullest extent permitted by applicable law, we and all owners of the content make no representations and disclaim any warranties or conditions of satisfactory quality, merchantability, fitness for a particular purpose, or non-infringement. Neither we nor any owner of content warrants that the Service is free of malware or other harmful components. In addition, we make no representation nor does it warrant, endorse, guarantee, or assume responsibility for any third party applications (or the content thereof), Subscriber content, or any other product or service advertised or offered by a third party on or through the Service or any hyperlinked website, or featured in any banner or other advertising. You understand and agree that Jewzy is not responsible or liable for any transaction between you and third party providers of third party applications or products or services advertised on or through the Service. As with any purchase of a product or service through any medium or in any environment, you should use your judgment and exercise caution where appropriate. No advice or information whether oral or in writing obtained by you from us shall create any warranty on behalf of Jewzy in this regard. Some aspects of this section may not apply in some jurisdictions if prohibited by applicable law. Without limiting the above, Jewzy makes no representations or warranties concerning:

  • The availability of the Jewzy Service in a particular jurisdiction.
  • The availability of the Jewzy Service for any particular device, operating system, or browser.
  • The continued support for a particular feature of the Jewzy Service.
  • The viewing quality of any Program. Jewzy does not guarantee that you will be able to use the Jewzy Service or view any Program uninterrupted or error-free.
  • The content of any Program or the suitability of any Program for any audience. All opinions and statements expressed by or in Programs (or related materials) are made without representation or warranty of any kind.
  • The continued availability of any Program or the availability of particular Program within Jewzy.
  • Any unauthorised actions or omissions with respect to your personal information.
  • Jewzy or Vimeo may provide links to other Producer websites or third-party websites. Jewzy is not responsible for the content of, or any interactions or transactions that may take place on or through, any such website.
This does not affect your statutory rights as a consumer.
17. Limitation

You agree that, to the maximum extent permitted by applicable law, your sole and exclusive remedy for any problems or dissatisfaction with the Service is to uninstall any Jewzy software and to stop using the Service. While Jewzy accepts no responsibility for third party applications or the content thereof, and while your relationship with such third party applications may be governed by separate agreements with such third parties, to the extent permitted by applicable law, your sole and exclusive remedy, as with respect to Jewzy, for any problems or dissatisfaction with third party applications or the content thereof, is to uninstall and/or stop using any such third party applications.

To the fullest extent permitted by law, in no event will Jewzy, its officers, shareholders, employees, agents, directors, subsidiaries, affiliates, successors, assigns, suppliers, or licensors be liable for (i) any indirect, special, incidental, punitive, exemplary, or consequential damages; (ii) any loss of use, data, business, or profits (whether direct or indirect), in all cases arising out of the use or inability to use the Service, third party applications, or third party application content, regardless of legal theory, without regard to whether Jewzy has been warned of the possibility of those damages, and even if a remedy fails of its essential purpose; or (iii) aggregate liability for all claims relating to the Service, third party applications, or third party application content more than either $100 or the amounts paid by you to Jewzy during the prior twelve months in question (whichever is greater), to the extent permissible by applicable law. You acknowledge and agree that any action taken by a Subscriber shall be as an individual acting alone and you waive any right to bring any dispute on a class, private attorney general, representative, or similar basis; no class actions will have any jurisdiction. The foregoing limitations apply to all claims, whether based on warranty, contract, tort, or any other legal theory, whether or not Jewzy (or Vimeo or other third party supplier) has been informed of the possibility of such damage, and whether a remedy set forth herein is found to have failed its essential purpose.

Nothing in the Agreement remove or limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by its negligence, and, if required by applicable law, gross negligence. Some aspects of this section may not apply in some jurisdictions if prohibited by applicable law.

You are referred to our Privacy Policy in respect of your rights pursuant to GDPR and other data privacy laws.

18. Third Party Rights and Apple

You acknowledge and agree that Jewzy as an original content provider is the intended beneficiary of the Agreement and has the right to enforce the Agreement directly against you. Other than as set out in this section, the Agreement is not intended to grant rights to anyone except you and Jewzy, and in no event shall the Agreement create any third party beneficiary rights. Furthermore, the rights to terminate, rescind, or agree to any variation, waiver, or settlement of the Agreement are not subject to the consent of any other person.

If you have downloaded the App from the Apple, Inc. (“Apple”) App Store or if you are using the App on an iOS device, you acknowledge that you have read, understood, and agree to the following notice regarding Apple. This Agreement is between you and Jewzy only, not with Apple, and Apple is not responsible for the Service and the content thereof. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Service. In the event of any failure of the Service to conform to any applicable warranty, then you may notify Apple and Apple will refund any applicable purchase price for the App to you; and, to the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the Service. Apple is not responsible for addressing any claims by you or any third party relating to the Service or your possession and/or use of the Service, including, but not limited to: (i) product liability claims; (ii) any claim that the Service fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation. Apple is not responsible for the investigation, defence, settlement and discharge of any third party claim that the Service and/or your possession and use of the App infringe that third party’s intellectual property rights. You agree to comply with any applicable third party terms, when using the Service. Apple, and Apple’s subsidiaries, are third party beneficiaries of this Agreement, and upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third party beneficiary of this Agreement. You hereby represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

If you have downloaded the App from Roku or other third party app stores or if you are using the App on a mobile device, you acknowledge that you have read, understood, and agree to the third party app store and/or mobile device terms and conditions of use and privacy policies.

19. General

Entire agreement: Other than as stated in this section or as explicitly agreed upon in writing between you and Jewzy, the Agreement constitutes all the terms and conditions agreed upon between you and us and supersede any prior agreements in relation to the subject matter of this Agreement, whether written or oral. Please note, however, that other aspects of your use of the Service may be governed by additional agreements. That could include, for example, access to the Service as a result of a free or discounted Pilot. When you are presented with an offer for such aspects of your use, you will be presented with any related additional agreement, and you may have an opportunity to agree to additional terms. Some of those additional terms are listed on the Jewzy website. To the extent that there is any irreconcilable conflict between any additional terms and this Agreement, the additional terms shall prevail. The Agreement incorporates the Privacy Policy and Cookies Policy. This Agreement sets forth the entire understanding between you and Jewzy concerning your use of the Jewzy Service and supersedes all prior agreements regarding the same. This Agreement may only be modified by us. Any changes will be posted to the Jewzy website and will apply prospectively; you are asked to check the website regularly for updates, news and offers.

Severability and waiver: Unless as otherwise stated in the Agreement, should any provision of the Agreement be held invalid or unenforceable for any reason or to any extent, such invalidity or enforceability shall not in any manner affect or render invalid or unenforceable the remaining provisions of the Agreement, and the application of that provision shall be enforced to the extent permitted by law.

Any failure by Jewzy or any third party beneficiary to enforce the Agreement or any provision thereof shall not waive our or the applicable third party beneficiary’s right to do so.

Third Parties; Relationship; Headings; Notices: No person who is not a Party to this Agreement (and for the avoidance of doubt neither the Third Party Platform provider nor app providers is a Party) may enforce any term of it and the provisions of the Contracts (Rights of Third Parties) Act 1999 shall not apply; however, indemnified parties may enforce their rights against you. The Parties are independent contractors as to one another. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement. Headings are provided for convenience and shall not be used to construe the terms hereof. You agree to receive notices via the email address that you used to create an account or via the Jewzy website.

Assignment: Jewzy may assign the Agreement or any part of it, and we may delegate any of our obligations under the Agreement. You may not assign the Agreement or any part of it, nor transfer or sub-license your rights under the Agreement, to any third party.

Indemnification: To the fullest extent permitted by applicable law, you agree to indemnify and hold Jewzy and its parent, directors, officers, employees, representatives, consultants, agents, suppliers, and partners (including Vimeo and third party content owners and suppliers) harmless from and against all damages, losses, and expenses of any kind (including reasonable attorney fees and costs) arising out of: (i) your breach of this Agreement or any unauthorised use of any Program or part; (ii) any Subscriber content that you upload or submit to us; (iii) any activity in which you engage on or through the Service; and (iv) your violation of any law or the rights of a third party.

U.S. Export Compliance: You may not use the Jewzy Service if (i) you are personally subject to U.S. government sanctions or (ii) you are located in a country that is subject to U.S. Government sanctions such that your use of the Jewzy Service would violate U.S. law. You represent and warrant that you are not subject to such sanctions.

Choice of law, mandatory arbitration and venue: Unless otherwise required by a mandatory law of a member state of the European Union or any other jurisdiction, the Agreement (and any non-contractual disputes/claims arising out of or in connection with them) are subject to the laws of the United Kingdom, without regard to choice or conflicts of law principles. If the Parties are unable to reach any amicable resolution of a dispute, then YOU GIVE UP YOUR RIGHT TO GO TO COURT AND HAVE YOUR CLAIMS TRIED BY A JUDGE OR JURY and the disputes or differences shall be referred to and finally resolved by arbitration under the of the London Court of International Arbitration (LCIA) for the time being in force which rules are deemed to be incorporated by reference into this clause. All arbitration proceedings shall be in the English language. The number of arbitrators shall be one. The seat, or legal place of arbitration shall be London, England. You and Jewzy irrevocably agree to the exclusive jurisdiction of the UK courts of arbitration to resolve any dispute, claim, or controversy that arises in connection with the Agreement (and any non-contractual disputes/claims arising out of or in connection with them). Any arbitration must be commenced by filing a demand for arbitration within 1 year after the date the party asserting the claim first knows or reasonably should know of the act, omission, or default giving rise to the claim; and there shall be no right to any remedy for any claim not asserted within that time period. If applicable law prohibits a one-year limitation period for asserting claims, any claim must be asserted within the shortest time period permitted by applicable law. A party who intends to seek arbitration must first send a written notice of the dispute to the other, by certified mail, or in the event that we do not have a physical address on file for you, by electronic mail ("Notice"). Jewzy’ address for Notice is: set out below. The Notice must (1) describe the nature and basis of the claim or dispute; and (2) set forth the specific relief sought ("Demand"). We agree to use good faith efforts to resolve the claim directly, but if we do not reach an agreement to do so within 30 days after the Notice is received, you or we may commence an arbitration proceeding. Any proceeding to enforce an arbitration agreement, including any proceeding to confirm, modify, or vacate an arbitration award, may be commenced in any court of competent jurisdiction in London, UK. In the event that this arbitration agreement is for any reason held to be unenforceable, any litigation (except for small-claims court actions) shall be commenced only in London, UK.

Class Action Waiver: Where permitted under the applicable law, you and we agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative action or other class proceeding. Unless both you and we agree, no arbitrator or judge may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding.
